SandRidge Mississippian Trust I (The Trust) is a statutory trust. The Trust was created to acquire and hold the Royalty Interests for the benefit of Trust unitholders. SandRidge conveyed to the Trust the Royalty Interests in specified oil and natural gas properties in the Mississippian formation in Alfalfa, Garfield, Grant, Major and Woods counties in Oklahoma (the Underlying Properties). These Royalty Interests were derived from SandRidge�� interests in a 36 wells and the equivalent of 123 horizontal development wells to be drilled in the Mississippian formation (Trust Development Wells) within an area of mutual interest (AMI), consisting of approximately 49,600 gross acres (42,000 net acres) in the counties where the Underlying Properties are located.

Effective January 1, 2011, the Royalty Interests entitle the Trust to receive 90% of the proceeds from the sale of oil and natural gas production attributable to its net revenue interest in the Initial Wells and 50% of the proceeds from the sale of oil and natural gas production attributable to SandRidge�� net revenue interest in the Trust Development Wells. As of December 31, 2011, the Trust�� properties consisted of Royalty Interests in the Initial Wells, 48 wells (equivalent to approximately 53 Trust Development Wells under the development agreement) and the equivalent of approximately 70 Trust Development Wells to be drilled in the Mississippian formation.

    The problem here is that SandRidge has been�dependent�on asset sales and its running out of assets to sell. In addition to the Permian sale, SandRidge has now taken three royalty trusts public. One consisting of Permian Basin assets, SandRidge Permian Trust (NYSE: PER  ) and two consisting of Mississippian assets, SandRidge Mississippian Trust I (NYSE: SDT  ) and SandRidge Mississippian Trust II (NYSE: SDR  ) . While SandRidge still owns a portion of each trust, it likely will continue to sell off its ownership stake in each trust as well as other assets it still owns. At some point SandRidge will need to live within its oil and gas cash flows, otherwise, its not worth owning.�

Unfortunately, that bet hasn't paid off well for shareholders, as the company saw its spun-off royalty trusts SandRidge Mississippian Trust I (NYSE: SDT  ) and SandRidge Mississippian Trust II (NYSE: SDR  ) fail to meet their projections for distribution amounts during the first quarter. The main problem has been that wells in the Mississippian Lime have produced more natural gas than expected, and even with a slight rebound in gas prices, it still doesn't produce adequate margins compared to oil and natural-gas liquids.

Bill Barrett Corporation explores for and develops oil and natural gas in the Rocky Mountain region of the United States. As of December 31, 2011, the Company had four active development programs, including the Gibson Gulch area in the Piceance Basin, the Uinta Oil Program in the Uinta Basin, the West Tavaputs area in the Uinta Basin and, following an acquisition in August 2011, a primarily oil program in the Denver-Julesburg Basin. As of December 31, 2011, the Company had interests in 826 gross (779.8 net) producing wells, and it serves as the operator in 796 gross producing wells. As of December 31, 2011, it held 42,633 net undeveloped acres, including the Cottonwood Gulch prospect. As of December 31, 2011, it was in the process of drilling three gross (three net) wells and waiting to complete 44 gross (44 net) wells within the Piceance Basin.

The Gibson Gulch area is a basin-centered gas play along the north end of the Divide Creek anticline near the eastern limits of the Piceance Basin�� productive Mesaverde (Williams Fork) trend at depths of approximately 7,500 feet. Its natural gas production in this ! basin is gathered through its own gathering system and EnCana Oil & Gas Corporation�� gathering system and delivered to markets through a variety of pipelines, including pipelines owned by Questar Pipeline Company, Northwest Pipeline, Colorado Interstate Gas, TransColorado Pipeline, Wyoming Interstate Gas Company Pipeline and Rockies Express Pipeline LLC. The energy content of its Piceance gas is 1.15 BTU per cubic foot and the natural gas is processed at an Enterprise Products Partners L.P. plant in Meeker, Colorado.

Uinta Basin

The Uinta Basin is located in northeastern Utah. As of December 31, 2011, in West Tavaputs Area, it had the estimated proved reserves was 460.7 billions of cubic feet equivalents. As of December 31, 2011, it had interests in 271 gross (258 net) producing wells, and it serves as the operator in 271 gross producing wells. During the year ended December 31, 2011, the net production was 32 billions of cubic feet equivalents. As of December 31, 2011, it held 22,618 net undeveloped acres, along with 16,119 net acres that are subject to drill-to-earn agreements. As of December 31, 2011, it was in the process of drilling one gross (one net) well and waiting to complete 17 gross (12.5 net) wells.

The Company serves as operator of its interests in the West Tavaputs Area. As of December 31, 2011, it had identified 622 potential drilling locations and 460.7 billions of cubic feet equivalents of estimated proved reserves with a weighted average working interest of 96%. The Company is actively drilling its shallow program, which targets the gas-productive sands of the Wasatch and Mesaverde formations at depths down to 7,600 feet on average. The Company drilled 92 wells during the year ended December 31, 2011, and completed 89 wells. Two of the new wells during 2011, targeted the Mancos and Niobrara formations to test these deeper horizons. Additionally, two recompletions were performed on existing wells in the Mancos and Niobrara formations. Gas delivered into Questar Pipeline is processed by Questar Transportation Services Company, and gas delivered into Three Rivers Gathering can be processed by QEP Field Services Co and Chipita Processing LLC. Gas can then be marketed through a variety of pipelines including Questar Pipeline Company, Northwest Pipeline, CIG, Ruby Pipeline LLC, Rockies Express Pipeline LLC, and Wyoming Interstate Gas Company Pipeline.

The Uinta Oil Program is a fractured oil play with multiple pay zones. The program consists of three main areas of development, including Blacktail Ridge, Lake Canyon and newly acquired East Bluebell. As of December 31, 2011, it had identified three formations: the Green River, Wasatch and Uteland Butte, with 1,688 potential drilling locations and 172.8 billions of cubic feet equivalents of estimated proved reserves and a weighted average working interest of 54%. The Company is also in the planning stages of selecting 80 acre pilot test areas across the field. It is running a three rig drilling program in the Uinta Oil Program which may be adjusted throughout the year as business conditions and operating results warrant.

The Blacktail Ridge area consists of both vertical and horizontal wells that target the Wasatch, Green River, Uteland Butte and Mahogany formations. At December 31, 2011, it had an acreage position of 23,037 net acres with an additional 16,660 net acres subject to drill-to-earn agreements. Under its exploration and development agreement with the Ute Indian Tribe of the Uintah and Ouray Reservation, (Ute Tribe), and Ute Development Corporation, it serves as operator and has the right to earn a minimum of a 50% working interest in all formation! s. Throug! h December 31, 2011, it had earned 17,588 gross (8,794 net) tribal acres in this area. The Ute Tribe assigned its participation rights pursuant to the exploration and development agreement to Ute Energy Corporation (Ute Energy).

The Lake Canyon area consists of both vertical and horizontal wells that target the Wasatch, Green River, and Uteland Butte formations. At December 31, 2011, it had an acreage position of 21,595 net acres with an additional 44,228 net acres subject to drill-to-earn agreements. Under the amended exploration and development agreement with the Ute Tribe and Ute Development Corporation, it operates the northern block of Lake Canyon (consisting of 19,781 net tribal acres) with a 75% working interest, and its industry partner operates the southern block where it retains a 25% working interest. The agreement also requires the Company and its industry partner to drill at least two wells per year from 2012 through 2015 and an additional 14 wells at some point between 2012 and 2015. Through December 31, 2011, it had earned 10,200 gross (4,640 net) tribal acres in this area. The Ute Tribe assigned its participation rights pursuant to the Lake Canyon amended agreement to Ute Energy.

On June 8, 2011, the Company closed on an acquisition of oil properties and related assets in the Uinta Basin referred to as East Bluebell. The acquired properties, which consist of 20,413 net acres, are located approximately 35 miles east-northeast of the Blacktail Ridge and Lake Canyon projects with a mixture of fee, state, federal and tribal minerals both unitized and non-unitized. Three federal units exist within the acquired leasehold, Aurora Unit, Ouray Valley Unit and Roosevelt Unit. Also included in the acquisition was associated gathering and transportation infrastructure.

Denver-Julesburg Basin

The Denver-Julesburg Basin (DJ Basin) is located in Colorado�� eastern plains and parts of southern Wyoming, western Kansas and western Nebraska. As of D! ecember 3! 1, 2011, its estimated proved reserves were 41.1 billions of cubic feet equivalents. As of December 31, 2011, it had interests in 216 gross (156.6 net) producing wells, and it serves as operator in 148 gross wells. As of December 31, 2011, the Company held 52,075 net undeveloped acres. As of December 31, 2011, it was in the process of drilling one gross (one net) well and waiting to complete two gross (two net) wells within the DJ Basin. The main oil and gas formations being targeted in the DJ Basin are the tight Muddy J Sandstone, Codell Sandstone and the Niobrara.

On August 16, 2011, it closed on an acquisition of oil and gas properties in the DJ Basin. This acquisition included approximately 26,416 gross (17,074 net) development and exploratory acreage in the Niobrara oil play in the Borie, Chalk Bluffs and Briggsdale prospect areas of Laramie County, Wyoming and Weld County, Colorado. With the acquisition, it also obtained operatorship of 126 producing wells and an interest in another 60 non-operated wells. The Company acquired another 21,903 gross acres (14,800 net) in the Niobrara oil and gas play in the Greater Wattenberg Area of Weld and Adams Counties in Colorado. The Company is running a one rig drilling program to drill and complete horizontal wells targeting oil in the Niobrara formation in the DJ Basin.

Powder River Basin

The Powder River Basin is primarily located in northeastern Wyoming. Its development operations are conducted in its coalbed methane (CBM) fields along with a Powder River Deep Program targeting oil. As of December 31, 2011, its estimated proved reserves were 55.7 billions of cubic feet equivalents. As of December 31, 2011, it had interests in 742 gross (472 net) producing wells and it serves as operator in 580 gross wells. As of December 31, 2011, it held 45,652 net undeveloped acres. During 2011, the Company�� net production was 13.2 billions of cubic feet equivalents. As of December 31, 2011, the Company was not in the process of! drilling! or completing any CBM wells within the Powder River Basin. Coalbed methane wells are drilled to 1,200 feet on average, targeting the Big George Coals. Its natural gas production in this basin is gathered through gathering and pipeline systems owned by Fort Union Gas Gathering, LLC and Thunder Creek Gas Services.

The Company�� Powder River Deep Program consists of vertical and horizontal wells targeting various Cretaceaous oil bearing horizons, including the Parkman, Sussex, Shannon, Niobrara, Turner and Frontier formations. The Company also has an interest in an active Parkman waterflood. At December 31, 2011, it had an interest in 51 gross (10.7 net) producing wells with estimated net proved reserves of three billions of cubic feet equivalents, and it serve as operator in seven gross wells. The Company has increased its net acreage position to 27,201 net acres throughout 2011, along with 11,141 net acres that are subject to drill-to-earn agreements.

Wind River Basin

The Wind River Basin is located in central Wyoming. The Company�� activities are concentrated primarily in the eastern Wind River Basin, along the greater Waltman Arch, where it generally serves as operator. In addition, it has a number of exploration projects, some of which are in areas of the Wind River Basin where it has no existing development operations. As of December 31, 2011, its Estimated proved reserves was 35.2 billions of cubic feet equivalents. As of December 31, 2011, the Company had interests in 152 gross (144.3 net) producing wells, and it serves as operator in 148 gross wells. Paradox Basin

The Paradox Basin is located in southwestern Colorado and southeastern Utah. As of December 31, 2011, it had interests in six gross (5.9 net) producing, or capable of producing, wells, and it serves as operator in six gross wells. As of December 31, 2011, it held 365,988 net undeveloped acres. As of December 31, 2011, the Company was not in the process of drilling or completing wells within the Paradox Basin. Its Paradox Basin prospect targets oil, natural gas and associated natural gas liquids from the Gothic and Hovenweep shales at average vertical depths of 5,800 and 5,700 feet, respectively. Through December 31, 2011, it had drilled four exploratory vertical wells to gather rock property data and nine horizontal well bores in the Gothic shale. Six of the horizontal wells were on production at various times in 2011, of which two have continually produced from inception and thus far exhibit flat decline curves. It serves as operator in this area where it has a working interest of approximately 100%.

RPC, Inc. (RPC), incorporated on January 20, 1984, is a holding company. The Company provides a broad range of specialized oilfield services and equipment primarily to independent and oil and gas companies engaged in the exploration, production and development of oil and gas properties throughout the United States, including the southwest, mid-continent, Gulf of Mexico, Rocky Mountain and Appalachian regions, and in selected international markets. The Company operates in two business segments: Technical Services and Support Services.

The services and equipment provided include, among others, pressure pumping services,downhole tool services coiled tubing services, snubbing services (also referred to as hydraulic workover services), nitrogen services, the rental of drill pipe and other specialized oilfield equipment, and well control. Technical Services

Technical Services include RPC�� oil and gas service lines that utilize people and equipment to perform value-added completion, production and maintenance services directly to a customer�� well. The demand for these services is generally influenced by customers��decisions to invest capital toward initiating production in a new oil or natural gas well, improving production flows in an existing formation, or to address well control issues. This business segment consists primarily of pressure pumping, downhole tools, coiled tubing, snubbing, nitrogen, well control, wireline and fishing. The principal markets for this business segment include the United States, including the southwest, mid-continent, Gulf of Mexico, Rocky Mountain and Appalachian regions, and in selected international markets. Customers include multi-national and independent oil and gas producers, and selected nationally owned oil companies.

The Company primarily provides these services to customers in order to enhance the initial production of hydrocarbons in formations that have low permeability. Pressure pumping services involve using complex, truck or skid-mounted equipment designed and constructed for each specific pumping service offered. The mobility of this equipment permits pressure pumping services to be performed in varying geographic areas. Principal materials utilized in the pressure pumping business include fracturing proppants, acid and bulk chemical additives. Generally, these items are available from several suppliers, and the Company utilizes more than one supplier for each item.

Fracturing services are performed to stimulate production of oil and natural gas by increasing the permeability of a formation. Fracturing is particularly important in shale formations, which have low permeability, and unconventional completion, because the formation containing hydrocarbons is not concentrated in one area and requires multiple fracturing operations. The fracturing process consists of pumping fluid gel and sometimes nitrogen into a cased well at sufficient pressure to fracture the formation at desired locations and depths. Sand, bauxite or synthetic proppant, which is often suspended in gel, is pumped into the fracture. When the pressure is released at the surface, the fluid gel returns to the well surface, but the proppant remains in the fracture, thus keeping it open so that oil and natural gas can flow through the fracture into the production tubing and ultimately the well surface.

Acidizing services are also performed to stimulate production of oil and natural gas, but they are used in wells that have undergone formation damage due to the buildup of various materials that block the formation. Acidizing entails pumping volumes of specially formulated acids into reservoirs to dissolve barriers and enlarge crevices in the formation, thereby eliminating obstacles to the flow of oil and natural gas.! Acidizin! g services can also enhance production in limestone formations.Throug. TTS provides services and downhole motors, fishing tools and other specialized downhole tools and processes to operators and service companies in drilling and production operations, including casing perforation at the completion stage of an oil or gas well. The services that TTS provides are especially suited for unconventional drilling and completion activities.

Coiled tubing services, involve the injection of coiled tubing into wells to perform various applications and functions for use principally in well-servicing operations and more recently to facilitate completion of horizontal wells. Coiled tubing is a flexible steel pipe with a diameter of less than four inches manufactured in continuous lengths of thousands of feet and wound or coiled around a reel. It can be inserted through existing production tubing and used to perform workovers without using a larger, more costly workover rig. Principal advantages of employing coiled tubing in a workover operation include: not having to shut-in the well during such operations, the ability to reel continuous coiled tubing in and out of a well significantly faster than conventional pipe, the ability to direct fluids into a wellbore with more precision, and enhanced access to remote or offshore fields due to the smaller size and mobility of a coiled tubing unit compared to a workover rig.

Snubbing involves using a hydraulic workover rig that permits an operator to repair damaged casing, production tubing and downhole production equipment in a high-pressure environment. A snubbing unit makes it possible to remove and replace downhole equipment while maintaining pressure on the well. Customers benefit because these operations can be performed without removing the pressure from the well, which stops production and can damage the formation, and because a snubbing rig can perform many applications at a lower cost than other alternatives. There are a number of uses fo! r nitroge! n, an inert, non-combustible element, in providing services to oilfield customers and industrial users outside of the oilfield. For its oilfield customers, nitrogen can be used to clean drilling and production pipe and displace fluids in various drilling applications.

For non-oilfield industrial users, nitrogen can be used to purge pipelines and create a non-combustible environment.

Cudd Energy Services specializes in responding to and controlling oil and gas well emergencies, including blowouts and well fires, domestically and internationally. In connection with these services, Cudd Energy Services, along with Patterson Services, has the capacity to supply the equipment, and personnel necessary to restore affected oil and gas wells to production. During the past several years, the Company has responded to well control situations in several international locations including Algeria, Argentina, Australia, Bolivia, Canada, Colombia, Egypt, Kuwait, Libya, Mexico, Qatar, Taiwan, Trinidad, Turkmenistan, Tanzania, Abu Dhabi and Venezuela.

Wireline is classified into two types of services: slick or braided line and electric line. In both, a spooled wire is unwound and lowered into a well, conveying various types of tools or equipment. Slick or braided line services use a non-conductive line primarily for jarring objects into or out of a well, as in fishing or plug-setting operations. Elect! ric line ! services lower an electrical conductor line into a well allowing the use of electrically-operated tools such as perforators, bridge plugs and logging tools. Wireline services can be an integral part of the plug and abandonment process, near the end of the life cycle of a well.

Fishing involves the use of specialized tools and procedures to retrieve lost equipment from a well drilling operation and producing wells. It is a service required by oil and gas operators who have lost equipment in a well. Oil and natural gas production from an affected well typically declines until the lost equipment can be retrieved. In some cases, the Company creates customized tools to perform a fishing operation. The customized tools are maintained by the Company after the particular fishing job for future use if a similar need arises.

Support Services

Support Services include RPC�� oil and gas service lines that primarily provide equipment for customer use or services to assist customer operations. The equipment and services include drill pipe and related tools, pipe handling, pipe inspection and storage services, and oilfield training services. The demand for these services tends to be influenced primarily by customer drilling-related activity levels. The principal markets for this segment include the United States, including the Gulf of Mexico, mid-continent, Rocky Mountain and Appalachian regions and project work in selected international locations in the last three years including primarily Canada, Latin America and the Middle East. Customers primarily include domestic operations of multi-national and independent oil and gas producers, and selected nationally owned oil companies.

Rental tools accounted for approximately 5% of 2012 revenues. The Company rents specialized equipment for use with onshore and offshore oil and gas well drilling, completion and workover activities. The drilling and subsequent operation of oil and gas wells generally require ! a variety! of equipment. The equipment needed is in part determined by the geological features of the production zone and the size of the well itself. As a result, operators and drilling contractors often find it more economical to supplement their tool and tubular inventories with rental items instead of owning a complete inventory. The Company�� facilities are strategically located to serve the staging points for oil and gas activities in the Gulf of Mexico, mid-continent region, Appalachian region and the Rocky Mountains.

For a company that is putting up solid sales growth, has a great brand, and has seen its stock price rise more than 40% in the last 12 months, Saks (NYSE: SKS  ) didn't demand much of a premium. Hudson's Bay, the operator behind Lord & Taylor, picked up Saks for just $16 per share, representing a 4.5% bump to Friday's closing price.

Why is this good news?
It seems like an odd move from Saks' point of view. Hudson's Bay posted a loss in its last quarter, while Saks put up a nice profit in its most recent period. Hudson's Bay also has almost no cash on hand to finance the transaction. The business had about $27 million in cash at its last reporting in May, and it's going to finance the acquisition with equity, debt, and secured notes.

In the Edwards trend, its wells produce gas from the Edwards formation at a depth of 14,000 feet and in the Portilla field, its wells produce oil and gas from the Frio sands and the deeper Vicksburg from depths of approximately 7,000 to 9,000 feet. The Company produces market pulp in excess of its internal requirements at its three non-integrated pulp mills in Kamloops, Dryden, and Plymouth, as well as at its pulp and paper mills in Espanola, Ashdown, Hawesville, Windsor, Marlboro and Nekoosa. The Company sells approximately 1.6 million metric tons of pulp per year depending on market conditions. Approximately 50% of its trade pulp production capacity is in the United States, and the remaining 50% is located in Canada. The Company uses various chemical compounds in its pulp and paper manufacturing facili! ties that! it purchases, primarily on a central basis, through contracts. For pulp manufacturing, it uses numerous chemicals, including caustic soda, sodium chlorate, sulfuric acid, lime and peroxide. For paper manufacturing, it also uses several chemical products, including starch, precipitated calcium carbonate, optical brighteners, dyes and aluminum sulfate. It owns power generating assets, including steam turbines, at all of its integrated pulp and paper mills, as well as hydro assets at four locations: Espanola, Ottawa-Hull, Nekoosa and Rothschild. The Company�� business papers include copy and electronic imaging papers, which are used with ink jet and laser printers, photocopiers and plain-paper fax machines, as well as computer papers, preprinted forms and digital papers. These products are primarily for office and home use. The Company�� commercial printing and publishing papers include uncoated freesheet papers, such as offset papers and opaques. These uncoated freesheet grades are used in sheet and roll fed offset presses across the spectrum of commercial printing end-uses, including digital printing. The Company also produces paper for several specialty and packaging markets. Its folding cartons are used to package food, paper, health and beauty and other household consumer, commercial and industrial products for retail sale. It also manufactures express mail envelopes for the overnight courier industry. Its recycling operations procure recovered paper (or! recycled! fiber) for its paper mills, as well as for third parties from factories, warehouses, commercial printers, office complexes, grocery and retail stores, document storage facilities, paper converters and other wastepaper collectors. It handles a range of grades of recovered paper, including old corrugated containers, office paper, box clippings, newspaper and print shop scraps. It operates recycling facilities, which collects, sorts, grades and bales recovered paper and after sorting and baling, it transfer recovered paper to its paperboard mills for processing, or sell it to the United States manufacturers of paperboard, as well as manufacturers of tissue, newsprint, roofing products and insulation and to export markets. It also collects aluminum and plastics for resale to manufacturers of these products. Its waste reduction services extract additional recyclables from the waste stream by working with customers. In addition, it operates a nationwide fiber marketing and brokerage system, which serves regional and national accounts, as well as its recycled paperboard and containerboard mills and sells scrap materials from its converting businesses and mills. Brokerage contracts provide bulk purchasing. Its recycling facilities are located close to its recycled paperboard and containerboard mills, ensuring availability of supply with reduced shipping costs.
